This document sets forth the complete master retail, order, service, warranty, buyback, and dispute terms governing every transaction made to or from Vernium Gold Private Limited.
As recorded in the official master charter for Vernium Gold Private Limited.
“Buyer” means any person or entity purchasing, receiving, holding, using, or requesting service for any product or service from the Seller.
“Product” includes gold jewellery, silver jewellery, diamond jewellery, gemstone jewellery, coins, bars, artefacts, customised items, repaired items, exchanged items, and any other goods sold or serviced by the Seller.
“Manufacturing Defect” means a defect existing at the time of sale that arises solely from faulty workmanship, improper setting, production-related error, or defective manufacturing process, and not from use, accident, wear and tear, or external force.
“Normal Use” means ordinary wearing and handling of jewellery for personal adornment and does not include rough handling, impact, bending, twisting, pulling, chemical exposure, or use in physically demanding activities.
“Business Day” means any day other than Sunday or a public holiday on which the Seller is open for business.
“Custom Order” means any Product made, altered, engraved, resized, designed, assembled, or manufactured specifically for the Buyer.
“Unclaimed Item” means any Product left with the Seller for repair, alteration, resizing, polishing, service, valuation, or any other purpose and not collected by the Buyer within the time notified by the Seller.
“Electronic Record” includes invoice, payment record, WhatsApp message, SMS, email, CCTV recording, image, video, quotation, estimate, and any digital record maintained by the Seller.
Headings and sub-headings are inserted for convenience only and shall not affect interpretation.
Words importing the singular include the plural and vice versa.
Words importing one gender include all genders.
References to “including” shall be interpreted as “including without limitation”.
If any clause appears inconsistent with a product-specific written policy, the product-specific written policy shall apply to that transaction to the extent permitted by law.
Payment may be made by cash, UPI, debit card, credit card, bank transfer, or any other method accepted by the Seller.
Full payment must be received and successfully realized before any Product is delivered, handed over, shipped, released, or made available for collection.
The Seller does not offer credit, instalment, part-payment, deferred payment, reservation against payment, or any other payment plan unless expressly agreed in writing by the Seller.
Ownership and title in the Product shall remain with the Seller until full payment has been received and confirmed.
Any bank charges, gateway fees, card charges, transfer charges, or similar transaction costs shall be borne by the Buyer unless the Seller expressly agrees otherwise in writing.
The Seller may refuse to release any Product where there is a payment hold, reversal, chargeback risk, doubtful source of funds, or any other payment-related concern.
In the event of a payment dispute, the Seller may withhold delivery, exchange, repair, or buyback until the matter is resolved.
For custom orders, booking advances, or special orders, the Seller may apply separate booking, production, cancellation, and adjustment conditions.
Booking amounts for custom orders may be adjusted against final billing at the Seller’s discretion, subject to applicable law.
Any payment made by mistake, duplicate, reversal, or failed transfer shall be adjusted only after internal verification and bank reconciliation.
Gold, silver, diamond, and other metal rates shall be the rates declared by the Seller at the time of billing.
The Seller may revise rates, making charges, wastage charges, stone charges, labour charges, or any other charges at any time without prior notice.
GST and any other applicable tax, cess, duty, or statutory levy shall be charged as per applicable law.
Due to manufacturing tolerances, polishing, stone setting, and finishing, the weight of jewellery may vary by up to ±0.010 grams, or such other commercially reasonable variation as may apply to the design.
Minor variation in weight, finish, colour, shine, texture, stone alignment, size, or appearance shall not by itself amount to a defect.
Product photographs, display pieces, catalogue images, videos, social media posts, and website visuals are for representation only. Natural variation may occur between display images and the final physical product.
In hand-made, semi-handmade, and crafted jewellery, slight variations are to be expected and shall not be treated as faults unless they materially affect the functionality of the Product.
Any price quotation or estimate given before final billing is indicative only and may change based on weight, metal rate, stone rate, making charge, design complexity, or other applicable factors at the time of billing.
The Buyer acknowledges that precious metal rates can change quickly and that the billing rate on the invoice date and time shall be final for that transaction.
Where applicable, gold and silver jewellery sold by the Seller may be hallmarked as per applicable BIS requirements and industry practice.
Hallmarking, stamp placement, engraving placement, or certificate formatting may vary by product, batch, design, size, and availability of marking space.
The Buyer is responsible for checking the invoice, product details, and accompanying certificate at the time of purchase or receipt.
Any certificate, tag, barcode, seal, or packaging material issued with the Product must be preserved carefully and produced whenever required for exchange, warranty, repair, or buyback.
Any testing, hallmark verification, or certification requested by the Buyer after purchase may be subject to charges, unless the Seller agrees otherwise in writing.
Product names, product descriptions, SKU references, metal purity references, stone references, and item descriptions are recorded for commercial identification and may include shorthand descriptions commonly used in the jewellery trade.
The Buyer shall not rely on any verbal description alone when invoice and written product details are available.
Any discrepancy in description must be raised immediately upon receipt, and not after prolonged use.
Delivery or release of any Product shall take place only after successful realization of full payment.
Delivery timelines shown by the Seller are estimates only and are not guaranteed.
The Seller shall not be liable for delay caused by courier issues, transport problems, weather, strikes, lockouts, holidays, government action, address errors, or any event beyond the Seller’s reasonable control.
Risk in the Product shall pass to the Buyer upon delivery, handover, or release to the Buyer or to the Buyer’s authorized representative.
If the Buyer authorizes any third party to collect or receive the Product, the Seller shall not be responsible for loss, damage, mismatch, or delay after handover.
The Buyer must inspect the package, invoice, and Product immediately on delivery or collection.
If the Product is collected from the showroom, the Buyer must inspect it before leaving the premises.
If the Buyer requests dispatch to an address, delivery shall be considered complete once the Product is handed over to the carrier or the Buyer’s authorized recipient, as applicable.
Any claim regarding shortage, incorrect item, visible damage, weight mismatch, missing component, or packaging issue must be reported in writing within 24 hours of delivery or collection.
If no written claim is made within the above time, the Product shall be treated as accepted.
The Buyer must verify the invoice, item description, weight, design, hallmark, stone details, and sale amount before leaving the showroom or accepting delivery.
The Buyer is responsible for ensuring that the name, address, phone number, email, and other details provided to the Seller are correct.
The Seller shall not be liable for errors, delays, non-delivery, or loss caused by incorrect or incomplete information provided by the Buyer.
The Buyer shall keep all invoices, certificates, tags, packaging, and receipts safely, as these may be required for any future claim.
Claims shall be assessed based on physical inspection, invoice records, and the condition of the Product at the time of claim.
The Seller may require photographs, video, written explanation, or supporting documents before processing any claim.
The Buyer acknowledges that prolonged use before raising a complaint weakens the presumption of a purchase-time defect.
Exchange requests will be considered only within 7 calendar days from the invoice date, unless the Seller agrees otherwise in writing.
Exchange shall be subject to physical inspection and approval by the Seller.
Exchange shall be allowed only if the Product is:
accompanied by the original invoice, tags, certificate, and any accessories or attachments originally supplied.
The Seller may reject exchange if the Product shows signs of wear, polishing, resizing, repair, tampering, stone loss, chemical damage, accidental damage, or misuse.
Customized, engraved, resized, modified, altered, or specially ordered Products shall not be eligible for exchange unless the Seller confirms a manufacturing defect.
Exchange, if approved, shall normally be against a product of equal or higher value, with the Buyer paying any difference in price, taxes, making charges, or other applicable charges.
The Seller may refuse exchange where the product has been worn for an extended period, where the product is no longer saleable as new, or where the claim appears unreasonable, exaggerated, or unsupported.
No exchange shall be allowed for products purchased under clearance sale, final sale, special discount sale, or any other sale identified by the Seller as non-exchangeable.
All sales are final unless a refund is expressly approved by the Seller or required by applicable law.
Refunds, where approved, shall be processed only by the original payment mode or by account payee cheque, at the Seller’s discretion and subject to verification.
Shipping charges, gateway charges, card charges, insurance charges, packaging charges, handling charges, and any third-party service charge are non-refundable.
The Seller may first offer repair, replacement, adjustment, or exchange before considering a refund.
No refund shall be due merely because the Buyer has changed their mind, dislikes the design after purchase, or claims that the Product was used less than expected.
If a refund is approved for a Product containing precious metal, deductions may be made for market movement, labour, making charges, stone charges, packaging charges, payment charges, and any other reasonable cost incurred by the Seller, to the extent permitted by law.
Refunds are not available for Custom Orders except where the Seller confirms a manufacturing defect or where a refund is required by applicable law.
Custom Orders include any made-to-order, engraved, resized, specially designed, specially assembled, or otherwise personalised Product.
Once production, sourcing, stone setting, casting, engraving, resizing, or any other work has started on a Custom Order, the Buyer may not cancel the order unless the Seller agrees in writing.
Advances paid for Custom Orders may be non-refundable to the extent permitted by law and where the Seller has already incurred cost, started production, reserved stock, or blocked inventory for the Buyer.
Design approval given by the Buyer, whether written, verbal, digital, or by message, shall be treated as final for production purposes.
The Seller shall not be responsible for slight differences arising from handcrafting, resizing, stone setting, finishing, or metal flow in Custom Orders.
Custom Orders may take longer than ordinary ready-made products, and the Seller shall not be liable for delay caused by artisan workload, sourcing, approvals, or material availability.
If the Buyer fails to confirm a Custom Order within the requested time, the Seller may treat the order as cancelled or may continue only at the Seller’s discretion.
If a Custom Order is cancelled after work has started, the Seller may retain the advance wholly or partly to cover labour, materials, wastage, and administrative cost, to the extent permitted by law.
Buyback, if offered, is available only for Products originally purchased from the Seller.
The original tax invoice is mandatory for any buyback request.
Buyback is not automatic and shall be subject to inspection, authenticity verification, and approval by the Seller.
The Seller may refuse buyback if the Product is damaged, altered, doubtful, non-original, incomplete, tampered, or not in a condition suitable for resale or evaluation.
The Seller may deduct melting loss, impurities, wastage, refining charges, testing charges, handling charges, or any similar charge as reasonably applicable.
The Seller’s evaluation shall be based on the condition of the Product at the time of inspection and on the Seller’s prevailing buyback policy on that date.
Any buyback amount may be paid by cheque, bank transfer, or other method decided by the Seller.
The Seller may require identity verification and signature confirmation before releasing any buyback payment.
The Buyer shall not be entitled to any buyback unless the Product is physically presented for inspection.
Gold jewellery, gold coins, and gold bars must be returned in original condition wherever applicable.
Original invoice, certificate, packaging, seal, and any accompanying documentation must be produced.
Opened, bent, damaged, scratched, altered, oxidized, tampered, or incomplete items may be rejected or valued at a lower rate.
The Seller may conduct purity or authenticity verification before accepting any buyback request.
Any buyback price shall be based on the Seller’s prevailing buyback policy and the market rate considered by the Seller on the date of evaluation.
Any item with missing material, damaged surface, broken seal, removed stone, missing component, or visible alteration may receive reduced valuation or may be rejected.
The Seller shall not be bound to repurchase at the original sale price or at any price higher than the Seller’s declared buyback rate.
For 925 Sterling Silver jewellery, buyback shall be calculated only on the net recoverable silver weight.
Stones, pearls, enamel, resin, crystals, cubic zirconia, beads, threads, metal findings, locks, chains where not part of the recoverable silver value, adhesives, and any other non-silver component shall carry no buyback value unless the Seller expressly agrees otherwise.
The Seller may remove or exclude non-silver components before valuation.
Tarnished silver, used silver, or silver with wear and tear may be subjected to deductions as per the Seller’s buyback policy and actual recoverable value.
The Buyer acknowledges that silver buyback rates may vary by market conditions and by the Seller’s declared policy on the date of evaluation.
No value shall be paid for decorative elements, plating, stones, or accessories that do not form part of recoverable silver weight.
Coins and bars must be returned with original packaging, seal, certificate, and invoice wherever applicable.
Opened, damaged, scratched, bent, oxidized, altered, or tampered products may be rejected.
Gold and silver bullion, where offered, may be subject to separate purity, packaging, and testing rules.
The Seller may refuse buyback where the product condition, sealing, or origin is doubtful.
Any product that is not in saleable or verifiable condition may receive a reduced value or may not be accepted.
Products left with the Seller for repair, polishing, resizing, service, valuation, or any other purpose must be collected within the time notified by the Seller.
If no collection is made within 90 days from notice, the Seller may issue a reminder by phone, WhatsApp, SMS, or email, if available.
If the Product remains uncollected for more than 12 months after completion of the work or after the last notice, the Seller may charge storage or handling charges to the extent permitted by law.
The Seller may, after giving reasonable notice and to the extent permitted by law, deal with unclaimed items in a commercially reasonable manner, including retention, auction, sale, or other lawful action where applicable.
The Seller shall not be responsible for unclaimed items left for an extended period without communication from the Buyer.
The Buyer must provide proof of identity and the original receipt before collection of any repaired or serviced item.
Jewellery is a delicate product and may be damaged during use, pressure, snagging, impact, bending, twisting, pulling, or repeated stress.
Breakage, detachment, bending, cracking, or loss of a component occurring after delivery shall not by itself establish a manufacturing defect.
The Seller shall not be responsible for any stone, part, ornament section, clasp, lock, setting, motif, top portion, bottom portion, chain link, or metal component that is lost after delivery.
The Buyer specifically acknowledges that ordinary daily activities such as lifting objects, wearing jewellery during physical work, sleeping with jewellery, sports, exercise, pulling clothing, inserting hands into pockets, handling bags or drawers, or accidental snagging may cause damage and are outside the Seller’s control.
Damage arising after transfer of possession shall remain at the Buyer’s risk unless the Buyer proves a manufacturing defect to the Seller’s satisfaction or as otherwise required by applicable law.
If a portion of jewellery is lost after use, the Buyer shall not be entitled to demand replacement of the lost gold, silver, or component as a matter of right.
Where the Buyer claims that a defect existed from the time of purchase, the Seller may inspect the complete item, the broken piece, the invoice, and any supporting evidence before deciding whether the claim is genuine.
The Seller shall not be liable for any claim that seeks free replacement of lost metal weight merely because the item originally contained that quantity of gold, silver, or other precious material.
Wear-related damage, repeat stress failure, or accidental breakage after prolonged use shall normally be treated as use-related damage unless the Seller concludes otherwise after inspection.
Warranty, if any, applies only to manufacturing defects.
No warranty is provided for normal wear and tear, accidental breakage, impact damage, bending, twisting, pulling, pressure damage, stone loss, tarnishing, oxidation, discolouration, polishing loss, surface scratches, dents, or any damage caused by use.
No warranty applies where the Product has been altered, resized, repaired, soldered, polished, set, reset, or worked upon by any third party.
No warranty applies where damage is caused by chemicals, perfume, lotion, detergent, chlorine, seawater, hard water, sweat, medicines, cosmetics, heat, moisture, or environmental exposure.
The Seller may inspect every warranty claim physically and may use any reasonable technical method to assess the cause of damage.
The Seller may, at its discretion, repair, replace the defective portion, replace the Product, or provide another remedy permitted by law, but the Buyer shall have no automatic right to demand extra metal, free top-up, cash equivalent of lost weight, or any upgraded replacement.
If the Seller concludes that the issue is due to damage during use and not a manufacturing defect, the claim may be rejected or offered only on a chargeable basis.
No warranty shall cover sentimental value, emotional distress, travel expenses, opportunity loss, labour charges paid elsewhere, or any indirect loss.
The Seller’s technical assessment shall be final for internal business purposes, subject always to applicable law.
Warranty also does not cover loss caused by the Buyer’s negligence, rough handling, or use of the Product in an unsuitable environment.
If the Product was previously repaired, altered, or stressed, the Seller may refuse warranty or may offer only paid service.
Sterling Silver (925 Silver) may naturally tarnish, darken, oxidize, or change colour over time.
Such changes are caused by air, moisture, humidity, sweat, perfumes, lotions, chemicals, storage conditions, and ordinary environmental exposure.
Tarnishing, darkening, colour change, or oxidation shall not be considered a manufacturing defect.
Proper care, cleaning, and storage are necessary to maintain shine and appearance.
Natural skin reaction, chemical reaction, or surface discolouration of silver shall not create any entitlement to refund, free replacement, or free top-up.
Silver jewellery may require periodic cleaning and maintenance at the Buyer’s own cost unless the Seller agrees otherwise in writing.
Repairs may be accepted at the Seller’s discretion and may attract labour charges, polishing charges, stone charges, material charges, courier charges, and any other reasonable service charge.
Repair timelines are estimates only and may change depending on complexity, availability of materials, and workload.
The Seller is not responsible for delays caused by suppliers, third-party artisans, logistics delays, or force majeure events.
If a Product is repaired or altered by anyone other than the Seller, the Seller may refuse any subsequent claim relating to that Product.
The Seller may decline repair where the Product is damaged beyond economical repair or where further repair is not advisable.
For resizing, the Buyer understands that weight, shape, design appearance, and stone position may change and such changes shall not be treated as defects if the resizing is performed with reasonable care.
Jewellery that is weak, hollow, previously repaired, or structurally compromised may break during repair, and the Seller shall not be liable for such pre-existing weakness unless a manufacturing defect is proven.
Estimates for repair, resizing, polishing, or restoration are approximate only, and final charges may differ after physical inspection.
If a repair item is not collected after completion and notice, the Seller may apply the unclaimed item policy in Clause 16.
The Buyer is responsible for reasonable care of the Product after purchase.
The Buyer should remove jewellery during heavy work, gym activity, sports, swimming, sleeping, bathing, or any activity that may cause pressure, snagging, impact, chemical exposure, or bending.
The Buyer should avoid contact with perfume, lotion, hair spray, detergent, chlorine, cleaning chemicals, and other harsh substances.
The Seller shall not be responsible for damage caused by improper storage, rough handling, negligence, or continued use despite visible weakness.
The Buyer acknowledges that jewellery is not designed for rough or industrial use.
The Buyer should periodically check clasps, stone settings, links, hooks, prongs, and closures for wear.
The Seller may refuse a claim where the Buyer continued to wear a visibly damaged or weakened item after noticing the issue.
The terms in this clause apply to any order placed through the Seller’s website, social media, messaging platform, marketplace, or any other online channel.
For online claims relating to shortage, transit damage, wrong product, missing item, or internal damage, a complete uninterrupted unboxing video is mandatory.
The unboxing video must clearly show the package before opening, the opening process, and the product inspection without editing, pause, cut, or replacement footage.
Claims without a proper unboxing video may be rejected at the Seller’s discretion.
Minor outer packaging damage during transit shall not entitle the Buyer to reject the Product if the Product itself is intact.
Delivery acceptance by the Buyer, family member, staff member, neighbour, or any other recipient authorized or implied by the Buyer shall be treated as valid delivery.
Online orders may be subject to separate shipping, cancellation, return, and promotional terms displayed at the time of purchase.
Where online and offline terms appear inconsistent, the Seller’s written product-specific terms for that transaction shall apply to the extent permitted by law.
The Buyer agrees that Electronic Records may be used by the Seller for business, compliance, and dispute resolution purposes.
Electronic Records may include invoices, quotations, payment confirmations, WhatsApp chats, SMS messages, emails, photographs, video recordings, CCTV footage, and digital notes maintained by the Seller.
The Seller may rely on Electronic Records to establish billing details, customer communication, delivery, claim history, and the condition of the Product.
The Seller’s showroom, packing area, billing area, and service area may be covered by CCTV surveillance for security, fraud prevention, staff safety, and dispute resolution.
CCTV or other recordings may be used by the Seller to verify customer interaction, product handover, complaint handling, or any alleged incident, subject to applicable law.
The Buyer consents to reasonable electronic communication by the Seller, including WhatsApp, SMS, email, and phone calls, for order updates, service updates, invoice-related communication, compliance, and dispute follow-up.
The Buyer acknowledges that digital records may be preserved for a reasonable period as per business needs and legal requirements.
The Seller reserves the right to refuse sale, service, exchange, repair, or buyback where fraud, abuse, suspicious conduct, intimidation, false claim, tampering, or repeated unreasonable demand is suspected.
The Seller may refuse service where the Buyer behaves abusively, makes threats, attempts coercion, or attempts to pressure staff into an unsupported claim.
The Seller may request identification, proof of purchase, address verification, or other reasonable documents before processing any claim.
The Seller may decline any request if the Seller reasonably believes the request is dishonest, exaggerated, unsupported, or inconsistent with the physical condition of the Product.
The Seller may record complaint details, photographs, and inspection notes for internal and legal record-keeping.
The Seller may also refuse service where the Buyer has repeatedly raised the same claim after final closure or has engaged in abusive conduct toward staff or management.
The Seller may require the Buyer to provide identity, address, PAN, Aadhaar, or any other document required by applicable law or by the Seller’s internal compliance policy.
The Seller reserves the right to refuse, delay, or suspend any transaction where statutory requirements are not fulfilled or where the source of funds appears suspicious.
The Buyer shall cooperate with reasonable compliance requests made by the Seller.
The Seller may retain documentation where required for billing, tax, audit, compliance, anti-fraud, or legal purposes.
The Buyer shall not use false identity, altered documents, or misleading information for any purchase, exchange, repair, or buyback.
The Seller may report suspicious transactions to competent authorities where required by law.
The Seller shall not be liable for delay or failure to perform caused by events beyond the Seller’s reasonable control, including flood, fire, earthquake, pandemic, epidemic, strike, riot, public disturbance, transport failure, power failure, government restriction, legal prohibition, internet failure, cyber incident, or similar event.
During a force majeure event, delivery, repair, exchange, or buyback timelines may be extended without liability.
The Seller may suspend services during such events until normal operations can reasonably resume.
To the maximum extent permitted by law, the Seller’s total liability for any Product or transaction shall not exceed the amount actually paid by the Buyer for that specific Product.
The Seller shall not be liable for indirect, incidental, consequential, special, or punitive damages.
The Seller shall not be liable for loss of profit, loss of business, loss of opportunity, loss of reputation, sentimental value, or any similar indirect loss.
Nothing in these Terms shall be interpreted to exclude any liability that cannot lawfully be excluded under applicable law.
The Seller shall not be liable for a claim that seeks free gold, silver, or equivalent value for a component lost during use after delivery.
The Buyer authorizes the Seller to retain invoice details, contact details, transaction records, images, complaint records, and other business records as may be necessary for billing, compliance, service, dispute handling, and fraud prevention.
The Buyer shall provide truthful and complete information whenever requested by the Seller.
The Seller may share information with accountants, payment providers, logistics partners, legal advisers, auditors, insurers, or authorities where required for business, compliance, or legal purposes.
Customer records may be used for warranty verification, buyback verification, repair history, and dispute support.
The Buyer consents to reasonable use of customer information for lawful business purposes connected with the transaction.
The Seller may update, revise, replace, or modify these Terms at any time without prior notice.
The applicable Terms shall be the version in force on the date of billing or, for after-sale service, on the date the claim is submitted unless the Seller determines otherwise in writing.
The Seller may apply revised Terms to future dealings, future service requests, future exchanges, future buyback requests, and future claims relating to Products sold earlier, to the extent permitted by applicable law.
The latest version may be displayed at the showroom, on the website, or made available on request.
The Buyer acknowledges that the Seller may update business policies from time to time and that the Buyer is responsible for reviewing the current version before making a fresh claim or requesting a fresh service.
If the Seller does not enforce any clause immediately, that shall not be treated as a waiver of the Seller’s rights.
A waiver in one matter shall not operate as a waiver in any other matter.
Any waiver by the Seller must be in writing to be effective.
The English version of these Terms shall prevail in the event of any inconsistency with any translated version.
Any translated version shall be for convenience only unless specifically issued and signed by the Seller as controlling text.
These Terms shall be governed by and construed in accordance with the laws of India.
If any part of these Terms is inconsistent with mandatory law, the mandatory law shall prevail to the extent of the inconsistency.
The parties shall first attempt to resolve any dispute amicably through good-faith discussion.
If the dispute is not resolved within 30 days, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996.
The parties shall attempt to mutually appoint a sole arbitrator. If mutual appointment is not possible, the arbitrator shall be appointed in accordance with applicable law.
The seat and venue of arbitration shall be Siliguri, West Bengal, unless otherwise required by applicable law.
Arbitration proceedings shall be conducted in English unless otherwise agreed.
Subject to the arbitration clause and applicable law, the courts at Siliguri, West Bengal shall have jurisdiction over disputes arising from these Terms.
The Seller may still seek interim, urgent, or protective relief from any competent court or authority where required.
Subject to Clause 34 and applicable law, the courts at Siliguri, West Bengal shall have jurisdiction over disputes arising from these Terms.
Nothing in this clause shall prevent the Seller from taking lawful action in any forum where such action is legally permissible.
If any provision of these Terms is held invalid, illegal, or unenforceable by a competent court or authority, the remaining provisions shall continue in full force and effect to the extent permitted by law.
These Terms, together with the invoice, any written warranty, and any specific written policy issued by the Seller for a particular category of Product, constitute the entire agreement between the Buyer and the Seller for that transaction.
No oral statement, promise, assurance, or representation by any employee or representative of the Seller shall override these Terms unless confirmed in writing by an authorized signatory of the Seller.
Any prior discussion, brochure, verbal assurance, or display material shall not override this document unless expressly incorporated in writing.
By making payment, accepting delivery, taking possession, requesting service, or using the Product after purchase, the Buyer confirms unconditional acceptance of these Terms.
The Buyer acknowledges that jewellery is a delicate product and that after-sale claims will be assessed based on the Product’s condition, the invoice, the supporting record, and the applicable policy at the time of the claim.
The Buyer acknowledges that the Seller is not obliged to provide extra gold, extra silver, or free replacement merely because a part of the Product has broken, bent, worn out, been lost, or been damaged after use.
The Buyer further acknowledges that loss during use is different from a proven manufacturing defect.
The Buyer acknowledges that the Seller may update business policies and that future claims may be processed under the then-current policy to the extent permitted by law.
A short version of these Terms may be displayed on the invoice or in the showroom for quick reference.
The full Terms may be made available at the showroom and/or on the Seller’s official website.
In case of any operational mismatch, the Seller’s written policy in force at the time of billing or service shall apply to the extent permitted by law.
This document is intended to be printed and displayed as the Seller’s master terms for retail and service transactions.
The Buyer is advised to retain a copy of the invoice and, where provided, a copy of these Terms for future reference.
As per Clause 39 of these Terms & Conditions, this document represents the complete, unabridged master terms for Vernium Gold Private Limited.
